IFC’s Public-Private Partnership Transaction Advisory Department (CTA) provides advisory assistance to national and local governments and other public authorities, to structure and implement public-private partnerships (PPP) transactions, primarily for public services. Its aim is to increase access to basic infrastructure (electricity, water, transportation and telecommunications) and social services (health and education) and facilitate private investments.  The Legal Department of IFC (CLED), under the General Counsel, is responsible for providing legal and policy advice to the IFC Board, its Management and client departments on operational, advisory and corporate matters.

CLED seeks an experienced lawyer to fill the role of a senior lawyer with responsibility for supporting CTA’s operations, including providing legal advice on new projects as well as the portfolio of ongoing projects, and developing best practices and know-how on related legal and policy matters.

The lawyer will work across all regions.  S/he will work with CTA’s management team, investment officers and staff, as well as counterparts in CLED (including CLED lawyers, the Global Lead Counsel for PPP Advisory Services, and the AGC for Legal Practices), other IFC departments and WBG colleagues to support CTA’s business.  

The senior lawyer will report to CLED’s Assistant General Counsel, Legal Practices, or Global Lead Counsel, or other senior lawyer responsible for PPP work, as determined from time to time.

Location: Washington DC, Johannesburg, Dakar,or Nairobi.  Subject to individual circumstances, business need, and internal approvals, Vienna or Belgrade may be considered.

 

Duties and Accountabilities :

The senior lawyer will provide legal expertise and advice in relation to all aspects of CTA’s operations :

  • Review and comment on draft transaction documents prepared by the transaction team together with external legal counsel: Bidding documents (e.g. REOI/RFQ/RFP), Concession Agreement (e.g. Concession Agreement, Lease, Power Purchase Agreement, Share/Asset Sale Agreement, O&M Agreement, Services Agreement, etc.), and Government Support Agreement/Implementation Agreements, and other contracts, to ensure appropriate risk allocation, bankability, and appropriate treatment of IFC policies and practices ;
  • Where necessary participate in transaction structuring discussions, as well as internal guidance/decision meetings ;
  • Assist with legal aspects of post-transaction advisory support provided to clients ;
  • Assist with the selection and management of external legal counsel ;
  • On an exceptional basis, assist CTA in the negotiation of client mandates ;
  • Develop specimen documents, know-how documents, best practices, provide training, and generally facilitate knowledge transfer between CLED and CTA ;
  • As necessary, work on initiatives and projects to create markets or develop a pipeline of investment transactions (business development / IFC Upstream), participate in IFC departmental and institutional initiatives, develop new products, work with inter-disciplinary task forces, and support WBG intra-institutional initiatives ;
  • Liaise with IFC’s Business Risk department (e.g. in relation to conflicts of interests or integrity issues) and other relevant WBG departments ;
  • Provide general and ad hoc advice on legal matters to CTA and CLED management.

Note that the IFC position title is Counsel. In exceptional cases Senior Counsel may be considered, subject to further internal approvals.

Selection Criteria :

  • Excellent academic track record, including law degree (or equivalent qualification to practise law) ;
  • 12 or more years’ work experience, with 7 or more years’ experience in a leading international law firm. ;
  • Demonstrated professional track record in international Project Finance, PPP, public infrastructure development and tendering.  Cross-border and emerging market experience is essential.  Experience in IDA and FCS countries is a strong advantage ;
  • Excellent communicator with proven interpersonal and teamwork skills, including in a multicultural environment ;
  • Excellent written and spoken English.  Ability to work in Spanish, Portuguese or French is desirable ;
  • Highly motivated, with sound and independent judgment.  Must be a “team player”, open to new ideas, solutions-focused, and commercially minded ;
  • Willingness to travel.
