- The African Development Bank (the “Bank”) hereby invites Consulting Firms to indicate their interest in the following Assignment : Enhanced Due Diligence (“EDD”) ;
- The Bank is committed to good governance and to the promotion of ethical business practices in its operations and investment decisions. This commitment is reflected in the Bank’s policies and business processes as well as the endorsement of international standards of anti-corruption and transparency that apply to its operations ;
- The aim of the EDD is to determine if there are any allegations of fraud, bribery, abuse or corruption surrounding a Significant Related Party1 or a Beneficial Owner2 of a potential project the Bank is considering to finance. In terms of scope, the enhanced due diligence will be including without being limited to i. Assessing criminal, civil and regulatory backgrounds – any sanctions, civil or criminal enforcement actions potentially taken against the aforementioned; ii. Assessing Politically Exposed Persons (PEPs) and Other High-Risk Relationships (HRR) – any involvement of PEPs and HRR which may negatively affect the Bank’s potential funding; iii. Clarification of the background of any potentially on-going legal procedure; and iv. Assessing Sanctions history ;
- The Agriculture and Rural Finance Division of the African Development Bank invites Consulting Firms to indicate their interest in providing the above-described services. Interested eligible Consulting Firms or associations of Consulting Firms shall provide information on their qualifications and experience demonstrating their ability to provide the services (documentation, references for similar services, experience in comparable Assignments, availability of qualified staff, etc.) ;
- The eligibility criteria, the establishment of a short list and the selection procedure shall be in conformity with the Bank’s Procurement Framework, 2015 Edition, The natural persons or entities prominently connected to a project and who could be a source of integrity risks in such project. Significant Related Parties would typically include contractual parties of the project that utilise or are projected to utilise more than 10% of the Bank’s funding in a project, off-takers or clients who will purchase more than 50% of the output of a project, among others. The natural person(s) who directly or indirectly owns or controls an entity or on whose behalf a transaction is or proposed to be conducted. Where the entity is a publicly held company, the Beneficial Owners are natural persons who directly or indirectly own at least 5% of the total (voting or non-voting) share capital of the entity. For other entities, the Beneficial Owners are all-natural persons who controls or own the entity (or the persons on whose behalf the transaction is or proposed to be conducted). Where ownership or control is exercised through a chain of ownership or indirect control, the Beneficial Owner is the ultimate natural person with interests in the counterparty or Significant Related Party. available on the Bank Website at www.afdb.org. Please, note that interest expressed by a Consulting Firm does not imply any obligation on the part of the Bank to include it in the shortlist ;
- The estimated duration of services is two months and the estimated starting date is the 1st of July, 2020 ;
- Interested firms may obtain further information at the address below during the Bank’s working hours: 8am to 6pm GMT ;
- Expressions of interest must be received at the address below no later than the 15th of June, 2020 at noon Abidjan time and specifically mentioning Enhanced Due Diligence.
